Introduction

THIS COVE DELIVERY LIABILITY AGREEMENT ("Agreement") is a legally binding contract between you ("Driver") and Cove (Bermuda) Ltd ("Cove"). It applies to your participation in deliveries arranged through the Cove Drivers App and related services ("Driver Services"). PLEASE READ CAREFULLY. THIS AGREEMENT INCLUDES A RELEASE OF LIABILITY AND A WAIVER OF CERTAIN RIGHTS.

1. Acknowledgement of Risks

You understand that performing deliveries involves risks, including but not limited to:

• Road traffic accidents and collisions;
• Injury or death to you or others;
• Damage to your vehicle or other property;
• Weather hazards and road conditions;
• Slips, trips, and falls during pickup or drop-off;
• Interactions with members of the public; and
• Theft, loss, or damage to goods.

You voluntarily choose to participate and accept these risks.

2. Driver Responsibilities

• Your safety and compliance with all laws;
• Your vehicle condition and safe operation;
• Maintaining any required licenses and insurance;
• Deciding when, where, and how to perform deliveries;
• Safe transit of products to the correct order destination;
• Theft, loss, or damage to goods while in your possession;
• Any costs you incur, including fuel, maintenance, parking, and tolls.

3. Release of Liability

To the maximum extent permitted by law, you release and forever discharge Cove, and its directors, officers, employees, agents, affiliates, and partners ("Released Parties") from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:

• Your participation in Driver Services;
• Any accident, collision, injury, death, or property damage involving you, your vehicle, or third parties;
• Any parking ticket, speeding ticket, fine, penalty, towing, impoundment, or similar cost; and
• Any claims by third parties arising from your acts or omissions.

This release applies whether a claim is based on contract, negligence, or any other legal theory, except where liability cannot legally be released.

4. Covenant Not to Sue

You agree not to sue or bring any claim against any Released Party for any matter released by this Agreement.

5. Indemnity

• Your acts or omissions while performing Driver Services;
• Any breach of your agreements with Cove; or
• Any claim brought by a third party in connection with your performance of Driver Services.

This obligation includes, for example, claims for personal injury, property damage, or economic loss allegedly caused by you.

6. No Employment Relationship

Unless you have a separate written employment agreement with Cove, you are an independent contractor and not an employee, agent, joint venturer, or partner of Cove. You are responsible for your own taxes, insurance, and benefits. Cove does not provide workers' compensation, health insurance, pension benefits, paid leave, or other employment benefits to independent contractors.

7. No Guarantee of Work

Cove does not guarantee any minimum number of delivery opportunities, earnings, or hours.

8. Insurance

• Cove is not your insurer;
• You are responsible for maintaining appropriate insurance for your vehicle and your delivery activities; and
• You are responsible for any deductibles, premiums, and uncovered losses.

If your insurer denies coverage for any reason (including because you were using your vehicle for deliveries), that is your responsibility.

9. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim you have against Cove relating to Driver Services must be started within one (1) year after the event giving rise to the claim, otherwise it is permanently barred.

10. Waiver of Jury Trial; Arbitration

You and Cove agree to waive any right to a jury trial. Where permitted by law, any dispute arising out of or relating to this Agreement or Driver Services will be resolved by binding arbitration in Bermuda.

11. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

12. Governing Law

This Agreement is governed by the laws of Bermuda.

13. Electronic Signature

You agree that clicking "Accept" (or similar) in the Cove Drivers App constitutes your electronic signature and your agreement to be legally bound by this Agreement.
