Cove Drivers App – Delivery Person Agreement & Community Guidelines

Introduction
This Cove Delivery Person Agreement & Community Guidelines ("Agreement") is a legally binding contract between you ("Driver", "Delivery Partner") and Cove (Bermuda) Ltd ("Cove"). It governs your access to and use of the Cove Drivers App and your performance of delivery services requested through the app ("Driver Services"). This Agreement is designed to protect customers, Merchants, and Cove. Please read it carefully.
1. Relationship Between You and Cove
A) Independent contractor (default)
- You control when you go online and whether you accept delivery requests;
- You are not an employee, agent, joint venturer, or partner of Cove;
- You are responsible for your own taxes, insurance, and benefits; and
- You have no authority to bind Cove.
B) Substance over labels
You acknowledge that laws may look at the real working relationship in practice. You agree to work with Cove in good faith to structure the relationship consistently with independent contractor status where applicable.
2. Eligibility and Onboarding Requirements
- Valid government-issued identification;
- A valid Bermuda driver's license appropriate for your vehicle;
- Ability to lawfully work in Bermuda;
- Access to a car, or equivalent vehicle, capable of safely delivering orders;
- A compatible smartphone and data plan; and
- Any background checks, screening, or training that Cove requires (where permitted by law).
You must provide accurate information and keep it current.
3. Using the Cove Drivers App
A) Delivery opportunities
When you are online in the app, you may receive notifications of available delivery opportunities. Opportunities may include limited information (for example, order number, pickup location area, and delivery parish) before you accept.
B) Accepting and completing deliveries
If you accept a delivery, you agree to complete it promptly and professionally, following all instructions in the app and any reasonable customer instructions.
C) Declining deliveries
You may decline delivery opportunities. Cove does not guarantee any minimum number of delivery opportunities.
D) Location services
To operate the Driver Services, the app may collect and use your device location (including precise GPS location) while you are online and/or completing a delivery. You consent to this collection and use for purposes such as routing, delivery confirmation, safety, fraud prevention, and support.
4. Delivery Standards and Community Guidelines
A) Safety first
- Obey all road traffic laws.
- Do not drive under the influence of alcohol or drugs.
- Do not use your phone in an unsafe or illegal manner while driving.
- If conditions are unsafe (severe weather, unsafe pickup/drop-off), do not proceed and report the issue in the app.
B) Professional conduct
- Be respectful to customers, Merchants, and the public.
- No harassment, discrimination, bullying, threats, or hate speech.
- Do not enter a customer's home unless you have explicit permission and it is safe; if unsure, stay outside.
C) Customer privacy and confidentiality
- Keep customer information confidential (address, phone number, order contents).
- Do not use customer information for any purpose other than completing the delivery.
- Do not share screenshots, names, addresses, or order details on social media or with third parties.
D) Order integrity
- Do not open, tamper with, consume, or alter any items.
- Secure items properly to prevent damage or spills.
- Follow any handling instructions (fragile, keep upright, temperature-sensitive).
E) Prohibited items and illegal activity
- Do not transport illegal items.
- Do not carry weapons while performing deliveries.
- Do not engage in any unlawful behavior while using the app or performing deliveries.
F) No off-platform transactions
You must not ask or encourage customers or Merchants to pay you directly, cancel and reorder outside the Services, or otherwise complete transactions off-platform. This protects customer safety and the integrity of the marketplace.
5. Personal Vehicles and Equipment
Most Delivery Partners use personal vehicles. You agree to the Personal Vehicle Terms and Conditions and to maintain your vehicle in safe condition, with required registration and insurance. You are responsible for your equipment, including insulated bags where required for food or temperature-sensitive items, and for keeping your vehicle clean and appropriate for deliveries.
6. Compensation and Fees
- Delivery fees are shown in the app. You will receive the stated delivery fee for completed deliveries accepted through the Delivery Agent Hub; Cove retains the remaining portion to support the platform, customer support, and operations.
- Cove may adjust delivery fees and/or incentives from time to time. Fee changes apply prospectively.
- You are responsible for reporting and paying all taxes related to your earnings.
- Payout methods and schedules are described in the app. Cove may delay payouts where fraud is suspected or where required by law.
- Cove does not reimburse fuel, parking, tolls, vehicle repairs, insurance, or other expenses unless explicitly stated in writing.
7. Cancellations, Failed Deliveries, and Returns
- If you cannot complete a delivery, follow in-app instructions (contact support, return items to Merchant, or hold for redelivery where instructed).
- You must not abandon items in unsafe locations or dispose of items without authorization.
- You may be required to submit proof of delivery (photo, signature, note, timestamp) as instructed by the app.
8. Ratings, Quality, and Compliance
Cove may track metrics to protect customers and the platform, such as on-time delivery, completion rate, feedback, safety incidents, and reports of misconduct. Repeated issues may lead to warnings, suspension, or deactivation.
9. Safety Incidents and Reporting
You must promptly report accidents, injuries, property damage, criminal activity, threats, lost or stolen items, or any incident impacting customer safety or trust. If emergency services are needed, call emergency services first.
10. Suspension and Deactivation
Cove may suspend or deactivate your access immediately for violations, safety risks, insurance issues, fraud, abuse, or serious complaints. Re-training or verification may be required for reactivation.
11. Confidentiality and Intellectual Property
A) Confidentiality
Non-public information about Cove, Merchants, customers, pricing, and operations is confidential. You must not use or disclose it except to perform Driver Services.
B) App license
The Cove Drivers App is licensed, not sold. You may use it only to perform Driver Services in accordance with this Agreement.
12. Limitation of Liability
To the maximum extent permitted by law, Cove is not liable for injury, death, property damage, loss of earnings, or any tickets, fines, penalties, towing, impoundment, or vehicle repair costs. Nothing limits liability that cannot be excluded under applicable law.
13. Indemnity
You agree to defend, indemnify, and hold harmless Cove from any claims, liabilities, damages, losses, and expenses arising from your acts or omissions while performing Driver Services, breach of this Agreement, or third-party claims.
14. Time Limit to Bring Claims
Any claim must be started within one (1) year after the event giving rise to the claim, otherwise it is permanently barred.
15. Dispute Resolution; Arbitration; Jury Trial Waiver
You and Cove agree to waive any right to a jury trial. Where permitted by law, disputes will be resolved by binding arbitration in Bermuda.
16. Governing Law
This Agreement is governed by the laws of Bermuda.
17. Electronic Signature
Clicking "Accept" (or similar) in the Cove Drivers App constitutes your electronic signature and agreement to be legally bound by this Agreement.
