Cove.bm – Terms & Conditions

Introduction

These Terms and Conditions ("Purchase Terms") apply when you place an order for products through Cove.bm or the Cove mobile applications. These Purchase Terms form part of the overall agreement between you and Cove (together with the Terms of Use, Privacy Policy, and the policies referenced below). Important: Unless a product page states otherwise, products listed on Cove are sold by independent third-party retailers ("Merchants"). Cove provides the marketplace platform and delivery coordination, and may collect payment and customer support information on behalf of Merchants.

1. Key Definitions

  • "Customer" means the person placing an order through the Services.
  • "Merchant" means a third-party seller offering products through the Services.
  • "Delivery Partner" means a person or business that performs delivery services (which may include Cove-employed drivers and independent contractors).
  • "Order" means a purchase request submitted through the Services.
  • "Product" means a good offered by a Merchant on the Services.
  • "Delivery Fee" means any fee shown at checkout for delivery services.

2. The Contract for Sale

Unless explicitly stated otherwise, the contract for the sale of a Product is between you and the Merchant, not Cove. The Merchant is responsible for:

  • Product descriptions and availability;
  • Product quality, safety, and compliance with applicable laws;
  • Any manufacturer or seller warranties; and
  • Handling product-specific complaints.

Cove is not the manufacturer or seller of Products (unless explicitly stated) and does not provide warranties for Products. By placing an order, you acknowledge and agree that Cove is not the seller of Products (unless expressly stated) and that your primary legal rights and remedies regarding Products are against the Merchant or manufacturer, subject to Bermuda law.

3. Release for Product Claims Against Cove

  • Product quality, safety, defects, recalls, or warranties;
  • Product mislabeling, ingredients, or usage instructions; or
  • A Merchant's acts or omissions in connection with Products.

Your remedies for Product-related issues are against the Merchant and/or manufacturer, except where Cove is expressly identified as the seller of record or where liability cannot be excluded under applicable law.

4. Placing Orders

When you place an Order, you are making an offer to purchase Products from the Merchant and (if applicable) to purchase delivery services from Cove. Your Order is not accepted until:

  • Payment is authorized; and
  • The Order is confirmed in the Services (and, where applicable, accepted by the Merchant).

We may refuse, cancel, or limit Orders (for example, for suspected fraud, pricing errors, unavailable inventory, safety concerns, or delivery constraints).

5. Pricing, Errors, and Availability

If an error affects your Order, we may:

  • Cancel the Order and issue a refund; or
  • Contact you to confirm whether you still want to proceed.

Merchants may set minimum order amounts or product limits, which will be shown at checkout or on the product page.

6. Payments

  • Your payment method may be authorized at checkout and captured when your Order is confirmed or fulfilled.
  • If an item is unavailable, you may receive a partial refund.
  • If you participate in Cove Club or other subscription services, recurring charges may apply (see Section 12).

7. Delivery and Risk of Loss

Risk of loss and responsibility:

  • For Products, the Merchant remains responsible for the Product until it is delivered to you (or your authorized recipient), unless otherwise required by law.
  • After delivery is completed, responsibility for the Product transfers to you. Cove is not responsible for loss, theft, spoilage, damage, or deterioration after delivery.

Proof of delivery may include a timestamp, geolocation, photo, signature, or other confirmation in the Services. "Delivered" means the Order is delivered to the address you provided and:

  • Handed to you or your authorized recipient; or
  • Left in a location you authorized (for example, "leave at door"); or
  • Delivered to a reception, concierge, security desk, or similar service at your address.

If you request "leave at door" or similar instructions, you assume the risk of theft, weather exposure, or other loss after the Order is left at the location you specified.

8. Delivery Partners and Personal Vehicles

Some deliveries are completed by Cove-employed drivers. Other deliveries may be completed by independent Delivery Partners who use their own vehicles and accept delivery requests through the Cove Drivers App. Delivery Partners are responsible for complying with all road traffic laws, maintaining required licenses, and carrying appropriate insurance. Cove does not control the route a Delivery Partner takes and is not responsible for a Delivery Partner's acts or omissions to the maximum extent permitted by law.

9. Customer Responsibilities

  • Provide accurate delivery address and contact details;
  • Be available to receive your Order within the delivery window shown at checkout;
  • Provide clear delivery instructions (including gate codes, building access instructions, and safe drop-off instructions);
  • Inspect your Order at delivery and report any missing or damaged items promptly through the Services; and
  • Use Products safely and according to any instructions provided by the Merchant or manufacturer.

If you provide an incorrect address or cannot be reached, delivery may fail and additional fees may apply.
