Cove.bm – Terms of Use

Introduction
These Terms of Use ("Terms") govern your access to and use of Cove.bm, the Cove mobile applications, and any related services (together, the "Services"). The Services are operated by Cove (Bermuda) Ltd ("Cove", "we", "us", or "our"). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Changes to These Terms
We may update these Terms from time to time (for example, to reflect changes in the Services or changes in law). When we make changes, we will update the "Last updated" date at the top of this document and may provide additional notice in the Services. Your continued use of the Services after changes become effective means you accept the updated Terms.
2. Eligibility
You must be at least 18 years old (or the age of majority in Bermuda) to create an account and place orders. If you are under 18, a parent or legal guardian must create the account and supervise use. By using the Services, you represent that you can form a legally binding contract with Cove.
3. Your Account
You agree to:
- Provide accurate, current information;
- Keep your login credentials confidential;
- Notify us promptly if you suspect unauthorized access; and
- Accept responsibility for all activity that occurs under your account.
We may refuse registration, suspend, or terminate accounts to protect the Services or users, or where required by law.
4. Electronic Communications and E-Signatures
When you use the Services, you may receive communications from us electronically (for example, by email, SMS, push notifications, or in-app messages). You agree that these communications satisfy any legal requirement that communications be in writing. Where the Services allow you to click "I agree", "Accept", or similar, you agree that this constitutes your electronic signature and your intent to be legally bound.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any Bermuda law or regulation;
- Post or transmit content that is defamatory, abusive, harassing, hateful, or otherwise harmful;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Use bots, scrapers, or automated tools to access the Services without our written permission;
- Circumvent security features or access controls;
- Commit fraud, including payment fraud, chargeback abuse, or creating fake accounts; or
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
We may investigate suspected violations and take action including removing content, restricting access, or reporting to authorities.
6. User Content (Reviews, Ratings, Photos, Messages)
The Services may allow you to submit content (for example, reviews, ratings, photos, comments, support messages, or other materials) ("User Content"). You retain ownership of your User Content, but you grant Cove a worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, create derivative works of, publish, display, and distribute your User Content for the purpose of operating, improving, and promoting the Services. You represent that you have the rights to submit your User Content and that it does not violate any law or the rights of others. We may remove or restrict User Content at any time, with or without notice.
7. Intellectual Property
The Services, including the software, design, text, graphics, logos, and trademarks, are owned by or licensed to Cove and are protected by intellectual property laws. Subject to these Terms, Cove grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Services unless permitted by law or with our written consent.
8. Third-Party Links and Services
The Services may include links to third-party websites, apps, or services. We do not control third-party services and are not responsible for their content, availability, or practices. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.
9. Service Availability
We aim to keep the Services available, but we do not guarantee uninterrupted operation. The Services may be modified, suspended, or discontinued at any time, including for maintenance or security reasons. To the maximum extent permitted by law, Cove is not liable for any loss arising from outages, delays, or interruptions.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Cove disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cove does not guarantee that the Services will be error-free, secure, or free from viruses or other harmful components.
11. Limitation of Liability
To the maximum extent permitted by law:
- Cove will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Services.
- Cove's total liability to you for all claims arising out of or related to the Services will not exceed the greater of (a) $100 or (b) the total fees you paid to Cove (if any) for the use of the Services in the three (3) months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (for example, liability for fraud).
12. Indemnity
You agree to defend, indemnify, and hold harmless Cove, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use or misuse of the Services;
- Your violation of these Terms or any law;
- Your User Content; or
- Your violation of any rights of another person or entity.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, engaged in fraud, or created risk for Cove or others, or if required by law. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnity, and Dispute Resolution) will survive termination.
14. Time Limit to Bring Claims
To the maximum extent permitted by law, any claim or dispute you have against Cove arising out of or related to the Services must be started within one (1) year after the event that gave rise to the claim. If you do not start the claim within that time, it is permanently barred.
15. Force Majeure
Cove is not responsible for any delay or failure to perform that is caused by events outside Cove's reasonable control, including weather events, natural disasters, power failures, network outages, strikes, government actions, or other force majeure events.
16. Assignment
You may not assign or transfer these Terms or your rights under them without Cove's prior written consent. Cove may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
17. No Waiver; Severability
If Cove does not enforce a provision of these Terms, that does not waive our right to enforce it later. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
18. Dispute Resolution, Arbitration, and Jury Trial Waiver
PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR RIGHTS. Where permitted by law, you and Cove agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms ("Dispute") will be resolved by binding arbitration in Bermuda, rather than in court. Arbitration means an independent arbitrator (not a judge or jury) decides the dispute. You and Cove also agree to waive any right to a jury trial. Class actions: To the maximum extent permitted by law, you and Cove agree that Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. If a court determines that a Dispute must be heard in court rather than arbitration, you and Cove agree that the courts of Bermuda will have non-exclusive jurisdiction, and you consent to that jurisdiction.
19. Governing Law
These Terms are governed by the laws of Bermuda, without regard to conflict of laws rules.
20. Entire Agreement
These Terms (together with any policies and guidelines referenced in them) are the entire agreement between you and Cove regarding the Services and supersede any prior agreements or understandings, except where you have a separate written agreement with Cove. If there is a conflict between these Terms and a specific policy (for example, a Return Policy), the specific policy controls for that subject.
